Terms of Use

These are the terms of use for Closedloop.ai and its connected web pages, applications, and REST API endpoints (collectively, the Site). The Site is operated by ClosedLoop.ai, Inc. (we, us and our). By using the Site, either through a web browser or through automated execution of our API calls, you consent to these terms of use and agree to be bound by them. If we change these terms of use in any way, those changes will be posted on this page.

1. Classes of Users

Users of the Site who are covered by a Business Associate Agreement and/or SaaS Services Agreement with ClosedLoop are bound by the terms of the agreement for access to the Site and are “regular users”. Users who are granted access to the Site without a ClosedLoop Business Associate Agreement or SaaS Services Agreement are “demo users”. In cases where the terms of this policy conflict with a customer’s SaaS Services Agreement, the terms of the SaaS Services Agreement apply.

2. Access to the Site

It is your responsibility to ensure your computer system meets all the necessary technical specifications to enable you to access and use the Site and is compatible with the Site. It is your responsibility to manage access to the Site within your own organization by providing, limiting, or modifying access to “regular users.” This includes promptly revoking access for “regular users” who are no longer permissioned to access PHI. You must ensure that any registration details you provide are accurate. If you use or create a login ID (such as a username and password or other identifier) as part of our security procedures, you must treat such information as confidential and must not reveal it to anyone else. You are responsible for all activities that occur under your login ID and must notify us immediately of any unauthorized use or other security breach of which you become aware. We reserve the right to disable any login ID, at any time, if in our opinion you have failed to comply with any of the provisions of these terms of use or if any details you provide for the purposes of registering as a user prove to be false. We cannot guarantee the continuous, uninterrupted or error-free operability of the Site. There may be times when certain features, parts or content of the Site, or the entire Site, become unavailable (whether on a scheduled or unscheduled basis).

3. What you are allowed to do

You may retrieve and display content from the Site on a computer screen, print and copy individual pages and, subject to the next section, store such pages in electronic form.

4. What you are not allowed to do

Except to the extent expressly set out in these Terms, you are not allowed to:

  • Create an electronic database by systematically downloading and storing all of the pages of the Site;
  • Attempt to circumvent security or interfere with the proper working of the Site or the servers on which it is hosted;
  • You must only use the Site and anything available from the Site for lawful purposes (complying with all applicable laws and regulations), in a responsible manner.

5. Intellectual property rights

All intellectual property rights in any content of the Site (including text, graphics, photographs and other images, trademarks and logos) are owned by us or our licensors. Except as expressly set out here, nothing in these terms of use gives you any rights in respect of any intellectual property owned by us or our licensors and you acknowledge that you do not acquire any ownership rights by downloading content from the Site.

6. Your personal information

Use of your personal information submitted to or via the Site is governed by our privacy policy.

7. Personal and Protected Health Information (PHI)

The Site is designed to be used with Protected Health Information (PHI) as defined by the Health Insurance Portability and Accountability Act of 1996 (HIPAA). Protected Health Information can be uploaded by users to the Site and accessed and downloaded from the Site. All organizations using the Site with PHI must have a signed, active Business Associate Agreement in place with ClosedLoop in order to exchange PHI with the Site. The Business Associate Agreement may specify additional requirements on the exchange of PHI.

8. Limited Access Death Master File

The Site may provide you with access to the Limited Access Death Master File data from the NTIS. Pursuant to 15 CFR Part 1110, any reports or outputs generated from the system should not be carried forward into other systems unless a mechanism is in place (i.e. through automated report updates) to get continual updates from ClosedLoop. Additionally no data derived from the LAMDF may be posted publicly.

9. External links

The Site may, from time to time, include links to external sites. We are not responsible for the content of these sites or for anything provided by them and do not guarantee that they will be continuously available. The fact that we include links to such external sites does not imply any endorsement of or association with their operators or promoters.

10. Additional Terms for Demo Users

Demo users are users that use the site outside of an established ClosedLoop Business Associate Agreement and/or SaaS Services Agreement. We may change the format and content of the Site from time to time. You agree that your use of the Site is on an ‘as is’ and ‘as available’ basis and at your sole risk. Contents of the Site may be modified, suspended or withdrawn by us, in our sole discretion, without notice to you. You agree that we will not be liable to you or to any third party for any unavailability, modification, suspension or withdrawal of the Site, or any features, parts or content of the Site.

Demo users may not upload their own data to the Site or in any way enter Protected Health Information (PHI), as defined by HIPAA (the Health Insurance Portability and Accountability Act of 1996) into the site.
